  1. Purchase and Sale Transactions. We advise regarding all aspects of the purchase or sale of assets or equity from the initial negotiation of a term sheet through closing in connection with a full range of key business transactions including acquiring or selling assets or equity interests, mergers, joint ventures, leasing equipment or space and licensing. Our services include the development and negotiation of term sheets and letters of intent and the drafting, negotiation and execution of all agreements, documents and instruments and conducting the transaction closing.
  2. Financing. We assist clients seeking new sources of capital by identifying and targeting sources of equity and debt financing. Our services include assisting in the preparation of due diligence materials, drafting private placement memoranda and other disclosure documents, negotiating stock purchase agreements and all other agreements, coordinating all required public filings and conducting the transaction closing.
  3. Employment and Equity Compensation. We draft and negotiate agreements for the employment and termination of employees including employment agreements, non-competition, non-disclosure and non-solicitation agreements, stock option plans and other equity-based compensation plans and termination and severance agreements.
  4. General Commercial Transactions. We draft and negotiate a broad range of commercial agreements relating to the ongoing operations of a business including third-party consulting agreements, equipment leases, real estate leases and licenses as well as distribution, marketing, sales, services, supply and other agreements.
  5. Governance. We advise management and Boards of Directors in connection with strategic matters, conflicts of interest, fiduciary duty and director and officer liability issues and are available to attend Board meetings.
  6. Formation and Maintenance. We advise regarding the choice of entity (corporation, partnership or limited liability company) for the operation of a business, draft all appropriate documents for the operation and governance of the business, coordinate all required public filings, and prepare and maintain corporate records including minute books and stock ledgers.
